The Competition Commission of India (CCI) has approved the acquisition of 100% equity shareholding in select infrastructure SPVs of KNR Constructions Limited by Indus Infra Trust.
The transaction involves the acquisition of four special purpose vehicles—KNR Palani Infra, KNR Ramanattukara Infra, KNR Guruvayur Infra, and KNR Ramagiri Infra—by Indus Infra Trust through its investment manager, GR Highways Investment Manager Private Limited.
Indus Infra Trust is a SEBI-registered infrastructure investment trust (InvIT) governed by InvIT regulations, while KNR Constructions is engaged in EPC and operations & maintenance services across roads, highways, irrigation, and urban infrastructure.
The acquired SPVs are involved in developing and operating highway projects under the Hybrid Annuity Model (HAM), through concession agreements with the National Highways Authority of India.
The approval paves the way for asset monetisation by KNR Constructions and strengthens Indus Infra Trust’s portfolio of operational road infrastructure assets.
