Veranda Learning gets NCLT approval for commerce business demerger

Veranda Learning Solutions has received approval from the National Company Law Tribunal (NCLT), Chennai Bench-I, for a Composite Scheme of Arrangement involving Veranda Learning Solutions, Veranda XL Learning Solutions and J.K. Shah Commerce Education Ltd (JSCEL).

The approval clears the way for the demerger of Veranda Learning’s Commerce vertical into JSCEL, which is proposed to be separately listed. The move is part of the company’s “Veranda 2.0” strategy to create focused and independently managed education businesses with greater operational flexibility and long-term value creation potential.

Following the NCLT approval, the company has entered the implementation phase of the demerger, subject to completion of the required steps, regulatory filings and other customary approvals. The process will include determining the Record Date, allotment of shares and listing of JSCEL within the prescribed statutory timelines.

Once the scheme becomes effective, JSCEL will house Veranda Learning’s entire Commerce education business, bringing brands including J.K. Shah Classes, BB Virtuals, Navkar Digital Institute, Tapasya College of Commerce and Logic School of Management under one platform.

Veranda Learning Executive Director and Chairman Suresh Kalpathi said the NCLT approval marks an important step towards building focused, category-leading education businesses. He added that the demerger would allow the Commerce vertical to pursue its next phase of growth independently and unlock long-term value for stakeholders.

The Commerce vertical provides professional education and coaching for CA, CS, CMA, ACCA, CPA and other finance and accounting qualifications through classroom, hybrid and online learning formats. The company said it has a strong track record of producing All India Rank holders.

Veranda Learning will announce the Record Date, share entitlement, share allotment schedule and listing timeline for JSCEL through regulatory disclosures in due course.
