This in reference to Regulation 23(9) of the SEBI (Listing Obligations and Disclosure Requirements) Regulations 2015 which requires every listed entity to submit to the Stock Exchanges \ Disclosure of Related Party Transaction\. However as per Regulation 15(2) of SEBI (LODR) Regulations, 2015 the compliance with Corporate Governance provisions are not applicable to the listed entity which has listed its specified securities on SME Exchange. In reference to above , we hereby declare and confirm that the Company falls under the ambit of aforesaid exemption and therefore not required to submit to exchange said disclosure.
