ITC’s wholly owned subsidiary Prag Agro Farm Limited liquidated; ceases to be subsidiary

ITC Ltd informed exchanges that Prag Agro Farm Limited (PAFL), its wholly owned subsidiary, has been voluntarily liquidated with effect from December 10, 2025, pursuant to an order of the Hon’ble National Company Law Tribunal (NCLT), Mumbai Bench. A copy of the order was received by the company on December 18, 2025.

Consequent to the liquidation, PAFL has ceased to be a wholly owned subsidiary of ITC.

PAFL reported total income of Rs 9.62 lakh for FY2024–25, accounting for about 0.0001 per cent of ITC’s total income for the year. Its net worth stood at Rs 82.11 lakh as on March 31, 2025, representing around 0.0013 per cent of ITC’s net worth.

The company clarified that the liquidation does not involve any sale or disposal consideration, buyers, related-party transactions, or slump sale, and is not part of any scheme of arrangement.
