This has reference to our letter dated December 2, 2025 enclosing the copy of Notice of Postal Ballot along with explanatory statement seeking approval of the shareholders by way of Special Resolution under applicable provisions of Companies Act, 2013 and Regulation 17(1C) of Listing Regulations for appointment of Ms. Meeta Malhotra (DIN: 01122839) as a Non-Executive Independent Director of the Company for a term of five years commencing from October 22, 2025.In compliance with the General Circular Nos. 03/2025 dated September 22, 2025, 14/2020 dated April 8, 2020, 17/2020 dated April 13, 2020, and subsequent circulars issued in this regard, the latest being 03/2025 dated September 22, 2025 issued by the Ministry of Corporate Affairs, the Notice was sent on December 2, 2025 only through electronic mode to those members whose names were recorded in the Register of Members or Register of Beneficial Owners as received from the Depositories at their e-mail addresses registered with the Depositories / Company s Registrar and Transfer Agent as on Friday, November 28, 2025 ( Cut-off date ).In this connection and as per the provisions of Companies Act, 2013 and Regulation 44(3) of the Listing Regulations, we wish to inform you that the Special Resolution mentioned in the aforesaid notice has been passed by the shareholders of the Company by requisite majority. The approval is deemed to have been received on the last date of e-voting, i.e. on January 6, 2026.As required under Regulation 44(3) of the Listing Regulations, please find enclosed a copy of (a) Voting Results and (b) Scrutinizer s Report for your record.
