Bharat Gears - Intimation Under Regulation 30 Of The SEBI (Listing Obligations And Disclosure Requirements) Regulations, 2015

In accordance with Regulation 30(4) read with Para B of Part A of Schedule III of the SEBI (LODR) Regulations, 2015 (\LODR Regulations\), and SEBI Circular No. SEBI/HO/CFD/CFD-PoD-2/P/CIR/2025/25 dated 25 February, 2025, this is to inform that erstwhile Joint Managing Director of the Company, Mr. Sameer Kanwar on the last day of his tenure i.e. 31 May, 2026 has shared certain concerns regarding certain specific practices by Mr. Surinder Paul Kanwar, Chairman & Managing Director of the Company.\r\n\r\nIn accordance with the Company's robust corporate governance practices and to ensure transparency, adequacy and regularity, the Audit Committee of the Board of Directors of the Company in its meeting held on 15 June, 2026 has appointed an external agency to carry out an impact assessment for the concerns raised. The said agency has been advised to provide their report within a reasonable period of time.\r\n\r\nYou are requested to take the same on your record.
