Shah Metacorp - FILING OF STATEMENT OF DEVIATION OR VARIATION PURSUANT TO REGULATION 32 OF SECURITIES AND EXCHANGE BOARD OF I

With Reference to the above Subject and Pursuant to Regulation 32 of the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015 Read with SEBI Circular No. CIR/CFD/CMD1/162/2019 Dated December 24, 2019, we hereby inform that Company has made preferential allotment of 2,40,00,000 convertible warrants on 26.06.2025 and 2,00,00,000 convertible warrants on 28.06.2025 to Ms. Mona Shah, promoter and Director of the Company and that are still pending for conversion as on June 30, 2026.\r\n\r\nFurther, the company has allotted 9,71,63,362 Equity Shares through Rights Issue on June 30, 2026 and company received Trading approval on July 02, 2026. There was no fund utilisation during the quarter ended June 30, 2026. Hence, we file Nil statement on as on 30th June, 2026.\r\n
