Amber Enterprises - Announcement under Regulation 30 (LODR)-Acquisition

Pursuant to Regulation 30 of SEBI LODR Regulations, we wish to inform the exchange that, IL JIN Electronics (India) limited, has entered into a Share Swap Agreement, on 18th October 2026, in terms of the said agreement IL JIN shall acquire 23,401 equity shares of Ascent Circuits, representing the balance 1.50% of its equity stake on fully dilutive basis, from Ms. Manju Thomas, and shall issue a allot 13,120, compulsorily Convertible Preference Shares (CCPS A2) to Ms. Manju Thomas as non-cash consideration. Upon Completion of the aforesaid transaction, Ascent Circuits shall become wholly owned subsidiary of IL JIN and the Company.
