Pursuant to Regulation 30 of SEBI LODR Regulations, we wish to inform the exchange that, IL JIN Electronics (India) Limited, a material subsidiary of the Company has entered into a Share Swap Agreement on 18th October 2026, in terms of the said agreement IL JIN shall acquire 1,75,680 equity share of Power-One Micro Systems Private Limited, representing its balance 40% equity stake on fully dilutive basis, from existing equity shareholders of Power-one and shall issue and allot 1,76,000 Compulsorily Convertible Preference Share (CCPS A3) to the sellers as non-cash consideration. Upon completion of the aforesaid transaction, Power-One shall become wholly owned subsidiary of IL JIN and the Company.
